• Payment is due in full prior to the commencement of services

• All payments are non-refundable, regardless of project status, changes, or client circumstances

• By submitting payment, you acknowledge and agree to these terms

Failure to complete payment may result in delayed or discontinued services.

5. Intellectual Property

All materials created by EllaEstudio—including strategies, frameworks, documents, content, designs, and processes—remain the intellectual property of EllaEstudio unless otherwise stated in writing.

Clients are granted a limited, non-transferable license to use materials solely for their internal business purposes.

Clients represent and warrant that any materials they provide do not infringe upon third-party intellectual property rights.

6. Confidentiality

Both parties agree to maintain confidentiality regarding sensitive information shared during the engagement, including:

• Client data

• Creative assets

• Proprietary processes

Confidential information does not include information that is publicly available or legally required to be disclosed.

7. Limitation of Liability

To the fullest extent permitted by law:

• EllaEstudio shall not be liable for any indirect, incidental, consequential, or punitive damages

• Our total liability shall not exceed the total amount paid by the client for the specific service giving rise to the claim

You acknowledge that results are not guaranteed and depend on many external factors beyond our control.

You agree to indemnify and hold harmless EllaEstudio from any claims, damages, losses, liabilities, or expenses arising from:

• Your use of our services

• Your breach of these Terms

• Any materials or information you provide
